The standard terms of sale that apply to every quotation and order.
Quotations are valid for 30 days from the date of issue. Pricing assumes the design files supplied at quotation time; any post-quotation revision may trigger re-quotation.
An order is binding once the customer has signed the Pro-Forma Invoice and Senmax has acknowledged receipt of deposit funds.
All design files, schematics, and Gerber data supplied by the customer remain the customer's property. Senmax claims no rights to customer IP and will not reuse or share customer designs.
Senmax warrants all PCB and PCBA workmanship to the contracted IPC class for 12 months from date of shipment. Warranty does not cover damage from misuse, ESD, contamination, modification or operation outside published environmental ratings.
Senmax's maximum liability for any claim is limited to the value of the products supplied. Senmax is not liable for indirect, consequential or special damages including lost profits, recall costs or downstream warranty claims.
Neither party is liable for delays caused by events outside reasonable control, including natural disasters, government action, semiconductor shortages or carrier disruptions.
These terms are governed by the laws of the People's Republic of China. Disputes are submitted to arbitration at the Shenzhen Court of International Arbitration (SCIA).
